Certain Greenmoor Enterprise Services may incorporate artificial intelligence, machine learning, natural language processing, recommendation systems, automated classification, content generation, or other AI technologies.
AI-generated or AI-assisted outputs may contain errors, omissions, inaccuracies, or inappropriate recommendations.

You are responsible for maintaining appropriate security practices for your organization and users.
14. Backups
Where backups are included in your Services, backups are intended to assist with recovery and business continuity.
Unless otherwise specified in writing, backups are not guaranteed to provide complete recovery of every file, transaction, database record, configuration, or historical version.
Customers should maintain their own independent copies of critical business information where appropriate.
15. Payments and Fees
Fees for Services will be established through applicable proposals, invoices, subscription plans, statements of work, or other written agreements.

Where Greenmoor Enterprise processes personal information on behalf of a business customer, additional data-processing terms may apply depending on the nature of the Services and applicable law.
22. Confidentiality

Unless specifically agreed otherwise, contacting us does not create an obligation to provide emergency or guaranteed response services.

We may make changes because of:
- Technology improvements;
- Security requirements;
- Third-party changes;

Additional transition or migration services may be subject to fees.
27. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an “AS IS” and “AS AVAILABLE” basis.
Greenmoor Enterprise does not warrant that the Services will be:
- Uninterrupted;

- Increased sales;
- Increased website traffic;
- Higher search rankings;
- Increased conversions;
- Increased customer engagement;
- Reduced operating costs;
- Increased inventory turnover;

- Loss of data;
- Business interruption;
- Loss of anticipated savings; or

To the maximum extent permitted by applicable law, Greenmoor Enterprise's aggregate liability arising out of or relating to the Services will not exceed the amount actually paid by the customer to Greenmoor Enterprise for the specific Services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.
30. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Greenmoor Enterprise LLC and its owners, officers, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from:

These Terms shall be governed by and interpreted under the laws of the State of California, without regard to conflict-of-law principles, except to the extent federal law or another mandatory applicable law requires otherwise.
34. Dispute Resolution
Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve disputes through informal communication.
A party seeking to raise a dispute should provide written notice describing:
- The nature of the dispute;
- The relevant facts;
- The requested resolution; and
- Contact information for further communication.
If the dispute cannot be resolved informally, the parties may pursue remedies available under applicable law.
Nothing in this section prevents either party from seeking emergency injunctive or equitable relief where necessary to protect intellectual property, confidential information, security, or other rights.
35. Arbitration
To the extent permitted by applicable law and unless a separate written agreement provides otherwise, disputes may be resolved through binding arbitration in California rather than through court proceedings.
Any arbitration provision applicable to a particular customer should be reviewed carefully with legal counsel before implementation, particularly with respect to consumer customers and any legally required disclosures or opt-out procedures.
36. Class Action Waiver
To the extent permitted by applicable law, parties using the Services for business purposes agree that disputes will be brought individually and not as part of a class, collective, or representative action.
This provision does not apply where prohibited by law.
37. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.
The invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving its intended purpose, where legally permitted.
38. No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

When changes are made, we will update the “Last Updated” date at the top of this document.
Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms to the extent permitted by law.
For material changes to an existing paid service relationship, we may provide additional notice where required.
